1. Services Overview

Neo Stark provides professional web development, UI/UX design, and related digital services including but not limited to website development, e-commerce solutions, landing pages, web applications, and ongoing maintenance. The specific scope, deliverables, timeline, and pricing for each project will be agreed upon in writing before work begins through a detailed project proposal or contract.

2. Project Process & Timeline

• All projects begin after a signed agreement and initial payment (if applicable)
• We provide regular updates and seek your feedback at predetermined milestones
• Revisions are included as specified in the project agreement (typically 2-3 rounds per milestone)
• Project timelines are estimates based on timely client feedback and content provision
• Final delivery occurs after your approval of the completed work and final payment
• We provide 30 days of post-launch support for bug fixes and minor adjustments

3. Payment Terms

• Payment schedules are outlined in individual project agreements
• We typically require 50% deposit before starting work on projects over ₹25,000
• Milestone payments may be required for larger projects (₹1,00,000+)
• Final payment is due upon project completion and before source code handover
• Late payments (beyond 15 days) may result in project suspension and 2% monthly interest
• All payments are in Indian Rupees (INR) unless otherwise specified
• We accept bank transfers, UPI, and other digital payment methods

4. Intellectual Property Rights

Upon full payment, you receive complete ownership of all custom code, designs, and assets created specifically for your project. However, we retain the right to:

• Showcase the work in our portfolio and marketing materials
• Use general methodologies, techniques, and know-how developed during the project
• Retain ownership of any pre-existing code, frameworks, or tools used in development

Third-party assets (fonts, stock images, plugins) remain subject to their respective licenses. We will clearly identify any licensed components and transfer appropriate usage rights to you.

5. Client Responsibilities

To ensure project success, clients are responsible for:

• Providing necessary content, images, and assets in a timely manner
• Ensuring you have rights to any materials you provide to us
• Reviewing and approving deliverables within the agreed timeframe (typically 5-7 business days)
• Communicating any concerns or change requests promptly and clearly
• Providing access to hosting accounts, domain management, and third-party services as needed
• Testing the website thoroughly before final approval

6. Scope Changes & Additional Work

Changes to the original project scope will be handled through a formal change request process. Additional work beyond the agreed scope will be quoted separately and requires written approval before proceeding. Common additional work includes:

• Extra pages or functionality not in the original scope
• Additional revision rounds beyond what's included
• Integration with new third-party services
• Content creation or copywriting services

7. Warranties & Support

We provide the following warranties and support:

• 30 days of free bug fixes and minor adjustments after project delivery
• Code quality assurance - all code follows industry best practices
• Cross-browser compatibility (Chrome, Firefox, Safari, Edge latest versions)
• Mobile responsiveness across common device sizes
• Basic SEO optimization (meta tags, semantic HTML, site structure)

Extended support and maintenance packages are available separately. We do not warranty third-party plugins, hosting performance, or issues arising from client modifications.

8. Limitation of Liability

Neo Stark's total liability for any claims arising from our services shall not exceed the total amount paid for the specific project in question. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Third-party service failures (hosting, payment gateways, etc.)
• Issues arising from client modifications to delivered code
• Search engine ranking changes or algorithm updates

9. Termination

Either party may terminate a project with 7 days written notice. In case of termination:

• Payment is due for all work completed up to the termination date
• Client receives all completed deliverables and work-in-progress
• Any deposits paid for uncompleted work will be refunded proportionally
• Both parties retain their respective intellectual property rights

We reserve the right to terminate immediately for non-payment, abusive behavior, or requests for illegal/unethical work.

10. Dispute Resolution

Any disputes arising from these terms or our services will be resolved through:

1. Good faith negotiation between the parties
2. Mediation if direct negotiation fails
3. Arbitration under Indian Arbitration and Conciliation Act, 2015

These terms are governed by Indian law and subject to the jurisdiction of Tamil Nadu courts.
